Takeover of Unterland / Purchase price of EUR 74m
The CEO of Unterland Flexible Packaging (Langkampfen, Kufstein / Austria; www.unterland.at), Jakob Mosser, had recently been considering launching the company on the stock market – see Plasteurope.com of 29.03.2007 – but this will not now happen because majority shareholder Capital Management Partners (CMP, Berlin / Germany; www.cm-p.de) has sold the films manufacturing company for EUR 74m in cash, debt-free, to the paper and packaging group Mondi with its core company Mondi Packaging (Vienna / Austria; www.mondipackaging.com). The transaction should be completed before the end of Q3 2007. Mondi itself was carved out only a few weeks ago from the South African mining and raw materials group Anglo American (www.angloamerican.co.uk).
Mosser, who will in future head Mondi's "Consumer Flexibles" Division from Vienna, expects considerable synergies to come from the integration of Unterland into this division, although no redundancies at Unterland are planned. 400 people are employed in Langkampfen.
Mondi Packaging posted sales in 2006 of EUR 3.2 bn. EUR 607m (2005: EUR 503m) of this is currently generated by the Consumer Flexibles Division, with EBITDA standing at EUR 32m (EUR 46m). A further EUR 1.2 bn (EUR 1.1 bn) of sales come from the Bags Division, which also comprises PE inliner films and laminates for paper. One of Unterland's future sister companies will be the former Bischof + Klein subsidiary Napiag Kunststoffverarbeitung (NKV, Zeltweg / Austria; www.napiag.at), which Mondi took over when it sold its interest in Bischof + Klein.
