German transport packaging maker merges with Belgian competitor / Holding with more than EUR 200 mn in sales

Transport packaging manufacturer KTP Kunststoff Palettentechnik (Bous, Germany; www.ktp-online.de) has announced its merger with Belgian competitor ConTeyor (Merelbeke; www.conteyor.com) under the umbrella of the newly founded KTP Holding.

The existing company names are to remain in place even after the transaction is finalised, which is expected before the end of the year. This was confirmed by a spokesperson for KTP majority owner VR Equitypartner (Frankfurt, Germany; www.vrep.de) in response to a Plasteurope.com query.
With around 1,000 employees, the new group is expected to generate sales of around EUR 200 mn. In addition to VR Equitypartner, KTP shareholder Wagner Holding will also retain a stake in the new holding company, but the majority will be held by the previous majority owner of ConTeyor, Gilde Equity Management (Houten, Netherlands; www.gilde.nl).
No information was provided regarding the exact amount of the investments. In the course of the transaction, however, KTP founding Wintrich family is withdrawing from the group of shareholders.

The group’s management is to consist of the two ConTeyor managing directors Orm Verberne (CEO) and Tim van Londersele (CFO) as well as KTP managing director Martin Hentschel (COO). Its headquarters will be at the former KTP site in Bous.
KTP’s product portfolio includes reusable plastic transport containers for large-volume and sensitive goods as well as plastic pallets and containers in European, US, and shipping container dimensions. ConTeyor specialises in inner packaging solutions (compartments) made of textile.
