Dutch packager divests large swathes of US flexible packaging operations / Sale of Van der Windt Group
Dutch packaging group Clondalkin (Amsterdam; www.clondalkingroup.com) has announced that it has completed the sale of most of its North American Flexible Packaging division to HLX PLY Holdings (Hartsville, South Carolina / USA). Financial details were not provided. The deal encompasses Clondalkin subsidiaries Direct Plastics (Orangeville, Ontario / Kanada), Accutech Films (Coldwater, Ohio / USA; www.accutechfilms.com) as well as Fortune Plastics (Old Sybrook, Connecticut / USA; www.fortuneplastics.com) with its plants in Arizona, Florida and Tennessee. Not included in the transaction is Spiralkote Flexible Packaging (Orlando, Florida / www.spiralkote.com).
Closer to home, the dutch group on 18 March announced the completion – pending regulatory approval – of plastic and carton bag, pouch and packaging manufacturer Van der Windt Group (Honselersdijk / The Netherlands; www.vanderwindt.com). Under the terms of the deal, whose financial details were also not revealed, Paardekooper Group (Oud-Beijerland / The Netherlands; www.paardekoopergroup.com) will acquire the Van der Windt companies Van der Windt Verpakking (Honselersdijk / The Netherlands; http://vanderwindtverpakking.nl), Olsthoorn Verpakkingen (Maasdijk / The Netherlands; www.olsthoornverpakkingen.nl) – which operates plants in Maasdijk, Naaldwijk and Aalsmeer – as well as Van der Windt Packaging’s European facilities in Belgium, the UK and Ireland.
Clondalkin said the divestitures would leave it with a total consideration of EUR 145m on a cash and debt free basis, adding that it intends to use the proceeds to repay debt maturities due in the coming year.
